CapGenX Academy AI, a product of CapGenX, having its registered office at 1st Floor, AH45, Krishna Reddy Industrial Area, Dooravani Nagar, Bangalore, India - 560016 (hereinafter referred to as "CapGenX", "we", "us", or "our") provides AI-powered online education services including personalized tutoring, adaptive learning paths, real-time analytics, and skill development programs (the "Services"), which Services are accessible at www.capgenx.com and any other websites through which CapGenX makes the Services available (collectively, the "Site") and as applications for mobile, tablet and other smart devices and application program interfaces (collectively, the "Applications").

By accessing or using the Site, Application or Services or by downloading or posting any content from or on the Site, via the Applications, you are indicating that you have read, and that you understand and agree to be bound by these terms and receive our Services ("Terms of Service" or "Terms"), whether or not you have registered with the Site and/or Application.

Please read these Terms of Service before accessing or using the Site, Application or Services, as they contain important information regarding your legal rights, remedies, and obligations.

If you do not agree to these Terms, then you have no right to access or use the Site, Application, Services, or Collective Content (as defined below).

If you are using the Site, Application or Services then these Terms of Service are binding between you and CapGenX.

In addition to other words and expressions defined elsewhere in these Terms, the following capitalized terms shall have the meanings ascribed below:

• "Courses" — Educational courses, AI-powered tutoring sessions, adaptive learning modules, and skill development programs listed on the Site or Application
• "Course Fees" — The amounts that are due and payable by a Student for enrollment in a Course or subscription plan
• "Collective Content" — Member Content and CapGenX Content
• "Content" — Text, graphics, images, software, audio, video, AI-generated educational materials, information, or other materials
• "Member" — A person who completes CapGenX's account registration process, including Students, Parents, Faculty, and Institutional Administrators
• "Student" — A Member who enrolls for Courses on the Application or Site. For a minor student, the parent or guardian who enrolls their child

By registering with us, you are expressly consenting to our collection, processing, storing, disclosing, and handling of your information as set forth in our Privacy Policy. All data processing activities take place in India.

By using the Site, Applications or Services, you agree to comply with and be legally bound by these Terms. These Terms govern your access to and use of the Site, Application, Services, and all Collective Content.

You hereby authorize CapGenX to reach you through Call, SMS, Email, WhatsApp, and push notifications for providing existing services and information on new products and services.

CapGenX respects and complies with the EU General Data Protection Regulations (GDPR):

• Consent: We explain what you're consenting to clearly and ask for explicit consent
• Breach Notification: We will notify affected users within 72 hours of becoming aware of a breach
• Right to Access: Users can request confirmation of personal data processing
• Right to be Forgotten: We may delete your personal data upon request
• Data Portability: Receive your data in a commonly used, machine-readable format

Use of the Site, Application, and Services is available only to persons who can form legally binding contracts under Indian laws. The Site, Application, and Services are intended for persons who are 18 years of age or older.

If you are below 18, your parent or guardian can open an account and help you enroll in age-appropriate courses. By accessing or using the Site, Application, or Services you represent and warrant that you are 18 years or older (or have parental consent).

• To access certain features, you must register to create a CapGenX Account. You may not have more than one active account
• You can register with email and password or a supported identity provider (Google or Apple ID)
• You agree to provide accurate, current, and complete information during registration
• CapGenX reserves the right to suspend or terminate your account if any information proves inaccurate or fraudulent
• You are responsible for safeguarding your password and will take sole responsibility for all activities under your account

CapGenX creates Listings of various AI-powered Courses with details including subject, topic, learning objectives, duration, mode of delivery, AI features involved, and pricing.

Our AI-powered features include:

• Personalized tutoring with adaptive AI
• Real-time performance analytics and insights
• Intelligent study path recommendations
• AI-generated practice materials and assessments
• Attention tracking and engagement analysis

CapGenX reserves the right to remove or disable access to any Listing or user account at its sole discretion for violations of these Terms.

• Course Fees will be displayed before you send an enrollment request
• Upon receipt, CapGenX may initiate a pre-authorization or charge to your Payment Method
• If an enrollment is cancelled before any services are provided, amounts collected will be refunded
• CapGenX will collect Course Fees at the time of enrollment request or subscription purchase
• System-generated invoices will be raised inclusive of all applicable Taxes
• You agree to pay all Course Fees for any enrollment connected with your CapGenX Account

• If you wish to cancel a confirmed enrollment, the applicable cancellation policy will apply. No refund for services already provided
• Refund processing depends on the payment method used. Refunds are typically processed within 7–14 business days
• If CapGenX cancels a confirmed enrollment, a full refund of Course Fees paid will be issued

You agree that you will not:

• Violate any applicable law, rule, regulation, or Tax obligation
• Use automated software, bots, or scripts to access, scrape, or crawl the Site or Application
• Access or use the platform in any way inconsistent with our Privacy Policy or Terms
• Use the platform for unauthorized commercial purposes
• Infringe the intellectual property, privacy, or other rights of CapGenX or any third party
• Interfere with or damage the platform through viruses, attacks, or harmful code
• Share, distribute, or reproduce AI-generated content, course materials, or proprietary educational content without authorization
• Use AI tutoring features to generate content for unauthorized commercial purposes
• Impersonate any person or entity, or falsify your affiliation

CapGenX has the right to investigate and prosecute violations to the fullest extent of the law, including deactivating or terminating accounts.

• The Site, Application, Services, and Collective Content (including AI-generated educational materials) are protected by copyright, trademark, and other laws of India and international treaties
• All trademarks, service marks, logos, and proprietary designations of CapGenX are trademarks or registered trademarks of CapGenX
• You will not remove, alter, or obscure any proprietary rights notices incorporated in the platform or content
• AI-generated content, course materials, assessments, and analytics provided through our platform remain the exclusive property of CapGenX

Your use of the platform is subject to our Privacy Policy. By using the Services, you agree to the processing of your personal information as described therein. You must be 18 years or older to use this service (or have parental consent).

• The Site, Application, Services, and Collective Content are provided "as is" without warranty of any kind, either express or implied
• CapGenX does not warrant that the platform will be uninterrupted, secure, or error-free. AI-generated content is provided for educational purposes and may not always be perfectly accurate
• CapGenX makes no warranty regarding the quality of AI-generated content, personalized recommendations, or learning outcomes achieved through the platform

• To the maximum extent permitted by law, CapGenX shall not be liable for any incidental, special, exemplary, or consequential damages arising from your use of the platform
• CapGenX's aggregate liability shall not exceed the amounts you have paid for Services in the three (3) month period prior to the event giving rise to the liability

• You may terminate your account at any time via account settings or by emailing info@capgenx.com
• CapGenX may terminate or suspend your account immediately for material breach of these Terms, provision of fraudulent information, violation of applicable laws, or for safety and security reasons
• Upon termination, confirmed enrollments may be cancelled and applicable refunds processed according to our cancellation policy

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.

Any dispute arising out of these Terms shall be determined by arbitration in India before a sole arbitrator, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bangalore, and proceedings shall be governed by Indian laws.

CapGenX reserves the right to modify these Terms at any time. Changes will be communicated via email or posted on the Site. Continued use of the Services after changes constitutes acceptance of the modified Terms.
